Terms and Conditions
These Terms of Service for Outsourcing on this Website (hereinafter referred to as "these Terms") define the terms and conditions for using the services related to the Philippines (hereinafter referred to as "the Services") provided by GARYO STRATEGIC CONSULTING Co., Ltd. (hereinafter referred to as "the Company") on this Website. Those wishing to outsource services/those providing services (hereinafter referred to as "Users") shall use the Services in accordance with these Terms.
Article 1 (Applicability)
These Terms shall apply to all relationships between Users and the Company regarding the use of the Services. In addition to these Terms, the Company may establish rules and other regulations (hereinafter referred to as "Individual Provisions") regarding the use of the Services. These Individual Provisions, regardless of their content, shall constitute a part of these Terms.
Article 2 (Outsourcing)
In the Services, a User is deemed to have formally entered into an outsourcing contract when, after agreeing to these Terms, applying for outsourcing services in the manner prescribed by the Company, a contract is exchanged, and payment of fees is completed in the manner specified by the Company.
Article 3 (Provision of Necessary Information)
Users shall, at their own responsibility, provide genuine necessary information when applying for the Services. Our company will verify the accuracy of the information provided by users during the application process. If our company determines that the information provided by a user is incorrect and that this would hinder the performance of the work, we may not accept the application for outsourcing.
Article 4 (Outsourcing Fees and Payment Method)
Users shall pay the amount displayed on this website as consideration for this service, in the manner specified by our company. However, if it is difficult to achieve the objective through normal business operations, our company will explain the reasons and offer a fair price as an outsourcing service, and the user shall examine the offer and decide whether or not to place an order.
Article 5 (From Commencement to Termination of Work)
This service shall commence from the time our company receives the outsourcing fee from the user and shall terminate when the user and our company agree and confirm the completion of the work.
Article 6 (Prohibited Actions)
Our company prohibits users from taking the following actions:
1. Providing false information when applying for user registration
2. Reapplying if you have previously violated these Terms and Conditions
3. Actions that violate laws or public order and morals
4. Actions related to defamation or criminal activity
5. Actions that infringe upon the content of this service, copyrights, or other intellectual property rights included in this service.
6. Actions that disrupt or interfere with the functionality of our servers or networks, or those of other users or third parties.
7. Actions that commercially utilize information obtained through this service.
8. Actions that may interfere with the operation of our services.
9. Actions that involve unauthorized access or attempts thereof.
10. Actions that involve collecting or accumulating personal information of other users.
11. Actions that involve using this service for fraudulent purposes.
12. Actions that cause disadvantage, damage, or discomfort to other users of this service or other third parties.
13. Actions that involve impersonating other users.
14. Advertising, soliciting, or engaging in business activities on this service that are not permitted by us.
15. Actions that directly or indirectly provide benefits to anti-social forces in connection with our services.
16. Any other actions that we deem inappropriate.
If we determine that a user has committed any of the above actions, we may not approve the application for commissioned work, and we shall have no obligation to disclose the reasons for such refusal. Furthermore, we shall not be liable for any damages caused by use by a third party, except in cases of intentional misconduct or gross negligence on our part.
Article 7 (Force Majeure Clause)
Except as specifically provided in these Terms and Conditions, if the Company fails or delays in executing all or part of these Terms and Conditions and/or any individual agreements due to fire, flood, earthquake, epidemic, strike, labor dispute, other industrial disturbance, moratorium, unavoidable accident, war (declared/undeclared), embargo, blockade, legal regulations, proclamation by central/local government, riot, rebellion, administrative system failure, or any other factor beyond the Company's control, the Company shall not be liable for any disadvantages or damages suffered by the user as a result of the suspension/interruption of the Service.
Article 8 (Termination of the Service)
For each service operation, the Service shall terminate when the user has completed their activities in the Philippines and has been transported to Ninoy Aquino International Airport.
Article 9 (Changes to Service Content, etc.)
The Company may change the content of the Service without notifying the user, and shall not be liable for any differences in content or amount incurred by the user prior to the change.
Article 10 (Changes to Terms of Use)
We may change these Terms of Use at any time without notice to the user if we deem it necessary. If a user begins using the Service after changes to these Terms of Use, the user will be deemed to have agreed to the revised Terms of Use.
Article 11 (Prohibition of Assignment of Rights and Obligations)
The user may not assign their status under the service agreement or any rights or obligations under these Terms of Use to a third party, or provide them as security, without our prior written consent.
Article 12 (Confidentiality Clause)
Both we and the user shall endeavor not to disclose to their respective parties or third parties any information that could be detrimental to either us or the user, including the terms, clauses, and items of this agreement, information about the Service, and personal/company information of both parties.
Article 13 (Handling of Personal Information)
We will handle personal information obtained through applications for the Service in accordance with our "Privacy Policy", it shall be handled appropriately in accordance with the above.
Article 14 (Intellectual Property Rights)
When a copyrighted work created or translated by the Company is completed, the Company shall have the copyright and the user shall have ownership of the work, and neither party shall reproduce or misuse it without the mutual consent of the other party.
Article 15 (Liability Clause)
Even if this service is terminated or cancelled, the rights and obligations of both the Company and the user that exist in these Terms shall continue to apply. In particular, the confidentiality obligation in Article 11 of these Terms shall continue to apply to both the Company and the user even after termination or expiration.
Article 16 (Notices/Contact)
All notices regarding the service performed under these Terms shall be sent from time to time via an address or other address where mutual communication is possible, a mobile phone number, an email address, or a mobile messenger communication tool. In addition, one party that receives a notice shall promptly notify the other party of its confirmation. Unless the user notifies the Company of a change, the Company will consider the currently registered contact information to be valid and will send notices/contacts to that contact information, and will consider them to have reached the user at the time of sending.
Article 17 (Early Termination/Refund)
Users may request early termination of the Service from us for any legitimate reason for which we are entirely at fault. However, as the Service is still in progress, we cannot provide a full refund. We will refund the remaining amount after deducting necessary expenses, etc. Please note that the refund process will take 4 to 6 weeks.
Article 18 (Governing Law and Jurisdiction)
The laws of the Republic of the Philippines shall govern the interpretation of these Terms and Conditions. In the event of any dispute arising in connection with the Service, the court having jurisdiction over our location shall have exclusive jurisdiction.
Article 19 Entire Agreement Clause
By agreeing to these Terms and Conditions and exchanging this contract, we certify that this is the complete and final agreement between us and the user, and it supersedes all previous written, email, or oral agreements, negotiations, promises, and statements.
